Please read this document carefully before using Redworx AI. By accessing or using the Redworx AI platform, you agree to be legally bound by these Terms of Service and Privacy Policy in their entirety. If you do not agree, you must not access or use the platform. These terms govern your use of an AI-assisted scheduling tool. You remain solely responsible for verifying all data outputs.

Definitions

In these Terms of Service and Privacy Policy, the following terms have the meanings set out below:

  • "Redworx AI", "we", "us", "our" means Redworx AI Pty Ltd (ABN to be inserted), a company incorporated in Victoria, Australia, and the operator of the platform accessible at redworx.ai.
  • "Platform" means the Redworx AI web application, including all software, tools, AI models, interfaces, APIs, and related services provided through redworx.ai.
  • "User", "you", "your" means any individual or entity that accesses or uses the Platform, including on a free trial or paid subscription basis.
  • "Schedule" means any HVAC or mechanical services data schedule, register, or report created, generated, or modified using the Platform.
  • "User Data" means all data, files, documents, technical specifications, field entries, and other content submitted to or processed by the Platform by a User.
  • "AI Processing" means the automated extraction, formatting, interpretation, classification, or generation of data by artificial intelligence or machine learning components of the Platform.
  • "Source Documents" means technical data sheets, manufacturer specifications, drawings, PDFs, spreadsheets, or any other documents uploaded to or referenced via the Platform.
  • "Output" means any schedule, report, export, or data product generated by the Platform as a result of AI Processing or User input.
  • "Pascal" means the AI scheduling assistant embedded within the Platform, accessible via natural language interface. Pascal is a software-based conversational agent and is not a person, engineer, consultant, or registered professional of any kind.
  • "Pascal Response" means any text, data, suggestion, recommendation, calculation, interpretation, or other output generated by Pascal in response to a User query or instruction.
  • "Applicable Standards" means Australian Standards and other normative references relevant to mechanical services and HVAC, including but not limited to AS 1668.1, AS 1668.2, AS 4254.1, AS 4254.2, AS/NZS 3000, AS 1345, AS 4426, NCC Section J, and any successor or amended versions thereof published by Standards Australia or adopted under the National Construction Code.
  • "Qualified Engineer" means a person who holds current registration as a mechanical or building services engineer under the applicable state or territory legislation in Australia, including under the Building Act 1993 (Vic) or equivalent, and who has the competency and authority to certify, approve, or sign off on mechanical services design and documentation for the relevant project.
  • "Subscription" means a paid plan providing access to premium features of the Platform.
  • "Agreement" means these Terms of Service and Privacy Policy, as amended from time to time.

Acceptance of Terms

By registering an account, accessing the Platform, submitting any data, or using any feature of Redworx AI, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement.

If you are accessing the Platform on behalf of a business or organisation, you represent and warrant that you have the authority to bind that entity to this Agreement, and the term "you" refers to both you individually and that entity.

You must be at least 18 years of age to use this Platform. By using the Platform, you represent that you meet this requirement.

This Agreement is effective from the date you first access the Platform or, where an Effective Date is stated above, from that date, whichever is earlier.

Description of Service

Redworx AI is a cloud-based HVAC and mechanical services scheduling platform designed to assist construction industry professionals in building, managing, and exporting project schedules. The Platform provides:

  • AI-assisted extraction of data from uploaded Source Documents including technical data sheets, specifications, and drawings;
  • Automated generation, formatting, and population of schedule fields based on AI Processing of User Data;
  • Tools to create, edit, review, and export Schedules in various formats;
  • Natural language query and update capability for schedule management;
  • Reporting and publication features for project documentation.
Nature of the Service

The Platform is a productivity and documentation tool. It is designed to reduce manual data entry workload and provide a structured front-end portal for schedule construction. It is not a substitute for professional engineering judgement, compliance verification, or the independent review of technical data. All Outputs are drafts that require User verification prior to use in any professional, contractual, or regulatory context.

AI Processing Limitations

AI Processing is inherently probabilistic. The Platform does not guarantee that data extracted from Source Documents — including values, parameters, model numbers, capacities, or classifications — will be accurately or completely reflected in Outputs. Errors, omissions, misinterpretations, and hallucinations are possible. The User is solely responsible for the review and verification of all data prior to any use.

Pascal — AI Scheduling Assistant

The Platform includes an integrated AI conversational agent named Pascal. Pascal is available to Users to assist with scheduling tasks including querying schedule data, interpreting field entries, suggesting classifications, populating fields, and navigating the Platform. This section governs the nature, limitations, and permitted use of Pascal and applies in addition to all other terms in this Agreement.

Pascal is Not a Professional or Engineer

Pascal is a software-based large language model (LLM) agent. Pascal is not a mechanical engineer, building services engineer, electrical engineer, hydraulic engineer, refrigeration technician, or any other registered or licensed professional. Pascal holds no professional registration, qualification, accreditation, or membership with any professional body, including Engineers Australia, the Australian Institute of Refrigeration, Air Conditioning and Heating (AIRAH), or any state or territory licensing authority.

Pascal Responses do not constitute engineering advice, professional opinion, design certification, compliance certification, or any form of professional services. Nothing communicated by Pascal should be interpreted or relied upon as a substitute for advice from a Qualified Engineer or other appropriately licensed professional.

No Domain-Specific Training or Certification

Pascal is not trained on, certified against, or validated in accordance with any Australian Standard, including but not limited to AS 1668.1 (mechanical ventilation and air-conditioning), AS 1668.2 (natural ventilation and mechanical exhaust), AS 4254.1 and AS 4254.2 (ductwork for air-handling systems), AS/NZS 3000 (wiring rules), NCC Section J (energy efficiency), or any product-specific technical standard or manufacturer data. Pascal's responses regarding such standards are generated probabilistically from general language model training data and may be incomplete, outdated, misapplied, or incorrect.

Users must not rely on Pascal Responses as an accurate or authoritative interpretation of any Australian Standard, regulatory requirement, manufacturer specification, or building code provision. All such interpretations must be independently verified against the current published version of the relevant standard or document, obtained directly from Standards Australia, the Australian Building Codes Board (ABCB), the relevant manufacturer, or a Qualified Engineer.

Authoritative Sources for Compliance & Technical Decisions

For all matters relating to compliance, design, selection, sizing, or installation of HVAC, mechanical, refrigeration, or building services equipment, Users must consult primary authoritative sources, including:

  • Current editions of Australian Standards published by Standards Australia (standards.org.au), including AS 1668, AS 4254, AS 1345, AS/NZS 1554, and all applicable referenced standards;
  • The National Construction Code (NCC) and Section J energy efficiency provisions as published by the Australian Building Codes Board (ABCB) at abcb.gov.au;
  • State and territory building regulations and licensing requirements, including those administered by the Victorian Building Authority (VBA) and equivalent bodies in other jurisdictions;
  • AIRAH (Australian Institute of Refrigeration, Air Conditioning and Heating) technical guidelines, DA series documents, and the AIRAH Handbook;
  • Original equipment manufacturer (OEM) technical data sheets, installation manuals, and selection software specific to the equipment being scheduled;
  • A Qualified Engineer registered and competent in the relevant discipline for the specific project, jurisdiction, and application.

Pascal may assist in directing you to the appropriate source or standard by name, but it cannot replace the content of those documents or the judgement of a Qualified Engineer in applying them.

Nature of Pascal Responses

Pascal Responses are generated by a large language model and are inherently probabilistic. They reflect statistical patterns in training data, not verified factual knowledge. Pascal may produce responses that are plausible in language but factually incorrect, outdated, inapplicable to the specific project context, or inconsistent with current Australian Standards or regulatory requirements. This is a known characteristic of LLM-based systems and is not a defect unique to Pascal.

Pascal Responses must be treated as unverified draft suggestions only. No Pascal Response should be entered into a Schedule, issued as part of a project document, used to make a procurement decision, or otherwise acted upon without independent verification by the User and, where appropriate, a Qualified Engineer.

Prohibited Reliance

You must not use Pascal for, and Redworx AI expressly disclaims all liability arising from, any of the following uses of Pascal Responses:

  • Determining or confirming compliance of any system, product, or installation with any Australian Standard, NCC provision, or regulatory requirement;
  • Selecting, specifying, or sizing HVAC or mechanical equipment for a specific project without independent verification against OEM data and applicable standards;
  • Interpreting or applying AS 1668.1, AS 1668.2, AS 4254, NCC Section J, or any other standard in a design or compliance context;
  • Making decisions that affect the health, safety, or welfare of building occupants or workers;
  • Replacing the review, certification, or sign-off of a Qualified Engineer on any design or documentation;
  • Any application where an incorrect response could result in property damage, personal injury, financial loss, regulatory non-compliance, or contractual breach.
Conversational Data & Pascal Interactions

All queries submitted to Pascal and all Pascal Responses are processed and stored by Redworx AI. Pascal interaction data is User Data within the meaning of Section 8 and is subject to the same data ownership and licence terms. Pascal interaction logs may be used by Redworx AI to improve the Platform, retrain or fine-tune AI models, and develop product features. Redworx AI does not guarantee the confidentiality of information disclosed to Pascal in the course of a query. Users should not submit sensitive personal data, confidential client information, or legally privileged material to Pascal.

Limitation of Liability — Pascal

Redworx AI expressly excludes, to the maximum extent permitted by law, all liability for any loss, damage, cost, claim, or expense — including professional liability, project delays, rework, regulatory penalty, or consequential loss — arising directly or indirectly from reliance on any Pascal Response. This exclusion applies regardless of whether such reliance occurred with or without the User's independent verification, and regardless of whether the Pascal Response appeared plausible, confident, or consistent with the User's existing knowledge. The limitations of liability in Section 5 apply in full to Pascal and Pascal Responses.

User Responsibilities & Data Verification

You agree that you are solely responsible for:

  • Verifying the accuracy, completeness, and suitability of all Outputs and Pascal Responses before using them in any professional, commercial, contractual, or compliance context;
  • Cross-referencing AI-generated or AI-extracted data against original Source Documents, current Australian Standards, and applicable manufacturer technical data;
  • Ensuring all Schedules and Outputs meet the requirements of the relevant project, client, authority, or applicable Australian Standard before issue, including AS 1668.1, AS 1668.2, AS 4254.1, AS 4254.2, and NCC Section J as applicable;
  • Engaging a Qualified Engineer to review and certify any Schedule, design, or documentation that requires professional sign-off under applicable legislation, building regulations, or contractual obligations;
  • Obtaining current editions of all relevant Australian Standards directly from Standards Australia, AIRAH, the ABCB, or the relevant authority before applying them to a project;
  • Verifying all equipment data against the original OEM technical data sheets and manufacturer selection tools before including that data in any issued Schedule;
  • Maintaining independent records of all source data and technical documentation used in conjunction with the Platform;
  • Ensuring you have the legal right to upload and process any Source Documents submitted to the Platform;
  • Complying with all applicable laws, professional standards, licensing requirements, and contractual obligations in your jurisdiction when using Outputs;
  • The safekeeping of your account credentials and for all activity conducted under your account.

You must not use the Platform or Pascal to process data that you are not authorised to handle, or to circumvent any professional, contractual, or regulatory obligation to independently verify technical data or obtain qualified professional input.

No Reliance on Outputs or Pascal Responses Without Verification

Outputs and Pascal Responses generated by the Platform must not be issued, submitted, or relied upon in any professional context without independent verification by the User and, where required, by a Qualified Engineer. This obligation applies regardless of how accurate, complete, or confident an Output or Pascal Response may appear. Redworx AI expressly disclaims any responsibility for Outputs and Pascal Responses that have been acted upon without independent verification prior to use.

Limitation of Liability
Exclusion of Consequential Loss

To the maximum extent permitted by applicable law, Redworx AI, its directors, employees, contractors, and related entities shall not be liable for any indirect, incidental, special, consequential, or punitive loss or damage arising out of or in connection with your use of, or inability to use, the Platform or any Output. This includes, without limitation, loss of profits, loss of revenue, loss of data, loss of contracts, project delays, rework costs, regulatory penalties, or any professional liability arising from reliance on an Output.

Cap on Direct Liability

Where liability cannot be excluded by law, the total aggregate liability of Redworx AI to you for any and all claims arising under or in connection with this Agreement shall not exceed the total Subscription fees paid by you to Redworx AI in the three (3) calendar months immediately preceding the event giving rise to the claim, or AUD $100.00, whichever is greater.

No Guarantee of Accuracy

Redworx AI makes no representation, warranty, or guarantee — express or implied — that data extracted, processed, or generated by AI Processing will be accurate, complete, error-free, or fit for any particular purpose. You accept that AI Processing may produce incorrect results and that the Platform is a workload-reduction tool, not a verified data source.

Australian Consumer Law

Nothing in this Agreement excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition, implied or imposed by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) where to do so would contravene that legislation or cause any part of this Agreement to be void. Where Australian Consumer Law applies and permits limitation of liability, Redworx AI limits its liability to re-supply of the service.

Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, accuracy, or non-infringement.

Redworx AI does not warrant that:

  • The Platform will be uninterrupted, error-free, or free from defects;
  • Any Output will be accurate, complete, or suitable for professional use without independent verification;
  • AI Processing will correctly interpret or extract data from any given Source Document;
  • Pascal Responses will be accurate, current, applicable, or consistent with any Australian Standard, NCC provision, manufacturer specification, or engineering principle;
  • Pascal will correctly identify, reference, or apply any provision of AS 1668.1, AS 1668.2, AS 4254, NCC Section J, or any other normative document;
  • Pascal Responses reflect the current or correct position of any manufacturer, supplier, authority, or standards body;
  • The Platform will meet your specific operational or compliance requirements;
  • Data stored on the Platform will be retained indefinitely or immune to loss.

You assume full responsibility for determining whether the Platform, its Outputs, and Pascal Responses are appropriate and accurate for your use case. Redworx AI recommends that all technical decisions made in connection with Outputs or Pascal Responses be validated by reference to current Australian Standards, OEM technical data, AIRAH guidelines, and a Qualified Engineer where applicable.

Intellectual Property
Redworx AI IP

All intellectual property rights in the Platform — including software, AI models, algorithms, interface design, branding, documentation, and underlying technology — are and remain the exclusive property of Redworx AI Pty Ltd. Nothing in this Agreement transfers any intellectual property rights to you. Your use of the Platform is subject to a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your own internal business purposes in accordance with this Agreement.

User Content

You retain ownership of any intellectual property rights you hold in the User Data you submit to the Platform. By submitting User Data, you grant Redworx AI a worldwide, royalty-free, perpetual licence to use, store, process, analyse, and derive insights from that data in accordance with Section 8 of this Agreement.

Third-Party Content

You are solely responsible for ensuring that any Source Documents or data submitted to the Platform do not infringe any third-party intellectual property rights, confidentiality obligations, or licence restrictions. Redworx AI accepts no liability for intellectual property infringement arising from User-submitted content.

Data Ownership & Licence

All data submitted to, processed by, or generated within the Platform — including User Data, Schedules, Outputs, and metadata — is the property of Redworx AI Pty Ltd upon submission to the Platform, subject to any intellectual property rights retained by the User under Section 7.

By using the Platform, you grant Redworx AI a perpetual, irrevocable, worldwide, royalty-free licence to use, store, copy, analyse, aggregate, and process all data in any manner Redworx AI considers appropriate, including for the purposes of:

  • Operating, maintaining, and improving the Platform;
  • Training, validating, and refining AI and machine learning models;
  • Generating anonymised or aggregated industry insights and benchmarks;
  • Research and development activities related to HVAC scheduling and building services documentation;
  • Compliance with legal obligations.
Restrictions on Use of Your Data

Notwithstanding the above, Redworx AI will not: (a) sell or transfer identifiable User Data to any third party for marketing purposes; (b) provide identifiable User Data to any company that competes directly with Redworx AI or that operates a competing HVAC scheduling or documentation tool; or (c) disclose confidential project-specific data to any third party in identifiable form except as required by law or as necessary to operate the Platform (e.g. cloud infrastructure providers under data processing agreements).

Anonymised & Aggregated Data

Redworx AI reserves the right to use anonymised and aggregated data derived from Platform usage — including schedule structures, equipment types, field frequency data, and interaction patterns — for any purpose without restriction, provided such data cannot reasonably identify you or any individual User.

Privacy Policy

This Privacy Policy governs the collection, use, storage, and disclosure of personal information by Redworx AI in connection with the Platform, and forms part of this Agreement. Redworx AI is committed to handling personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs).

Information We Collect

We collect information you provide directly, including: name, email address, organisation name, billing information, and account credentials at registration; User Data, Source Documents, and Schedules submitted to the Platform; account preferences, settings, and usage behaviour; and communications you send to us. We also collect technical data automatically, including IP addresses, browser type, device identifiers, session logs, and feature interaction data.

How We Use Your Information

We use personal information to: provide, operate, and improve the Platform; authenticate your identity and manage your account; process billing and Subscription management; provide technical support; send service-related notifications and, where you have opted in, product updates; detect and prevent fraud, security incidents, or misuse; and comply with applicable legal obligations.

Disclosure to Third Parties

We may disclose personal information to: cloud infrastructure and hosting providers (including Supabase) who process data on our behalf under data processing agreements requiring equivalent privacy protections; payment processors for billing purposes; professional advisers including legal and accounting firms under confidentiality obligations; and government or regulatory authorities where required by law. We do not sell your personal information. We do not disclose personal information to third parties for their own marketing purposes.

Data Retention

We retain personal information and User Data for as long as your account is active and for a reasonable period thereafter to fulfil our legal, accounting, and operational obligations. Where you request deletion of your account, we will delete or anonymise personal information within a reasonable period, except where retention is required by law.

Your Rights

Under the Australian Privacy Principles, you have the right to: request access to personal information we hold about you; request correction of inaccurate or incomplete personal information; make a complaint about our handling of your personal information; and, in certain circumstances, request deletion of your personal information. To exercise these rights, contact us at the details in Section 15. We will respond within 30 days.

Overseas Disclosure

Some Platform infrastructure and third-party service providers may be located outside Australia, including in the United States. Where personal information is transferred overseas, we take reasonable steps to ensure the recipient handles it in a manner consistent with the Australian Privacy Principles.

Cookies & Tracking

The Platform uses cookies and similar technologies to maintain session state, authenticate users, and collect usage analytics. By using the Platform, you consent to our use of cookies as described in our Cookie Notice, which may be updated from time to time. You may disable cookies via your browser settings, but this may affect Platform functionality.

Data Security

Redworx AI implements commercially reasonable technical and organisational security measures to protect User Data from unauthorised access, disclosure, alteration, or destruction. These measures include:

  • Data storage and management via Supabase, with row-level security controls;
  • Encryption of data in transit via TLS/HTTPS;
  • Encryption of data at rest within database infrastructure;
  • Authentication controls including secure token-based session management;
  • Access controls limiting Platform administrator access to data on a need-to-know basis.
No Absolute Security Guarantee

No method of transmission over the internet or electronic storage is completely secure. While Redworx AI applies industry-standard measures, we cannot guarantee absolute security of User Data. In the event of a data breach that is likely to result in serious harm, we will notify affected Users and, where required, the Office of the Australian Information Commissioner (OAIC) in accordance with the Notifiable Data Breaches scheme under the Privacy Act 1988 (Cth).

User Security Obligations

You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account. You must notify Redworx AI immediately at the contact in Section 15 if you become aware of any unauthorised access to your account.

Subscription, Billing & Cancellation
Free Tier

Redworx AI offers a free access tier with limited functionality. Free tier Outputs may include watermarks. Redworx AI reserves the right to modify, restrict, or discontinue the free tier at any time with reasonable notice.

Paid Subscriptions

Paid Subscriptions are billed per seat per month at the rate displayed at the time of purchase. All prices are in Australian Dollars (AUD) and are exclusive of GST unless otherwise stated. GST will be applied where required under the A New Tax System (Goods and Services Tax) Act 1999 (Cth). Subscription fees are charged in advance and are non-refundable except as required under Australian Consumer Law.

Renewal & Cancellation

Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel your Subscription at any time via your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods. Upon cancellation, your access to paid features will continue until the end of the paid period.

Price Changes

Redworx AI may change Subscription pricing with at least 30 days' written notice to the email address associated with your account. Continued use of the Platform after a price change takes effect constitutes acceptance of the new pricing.

Termination

Redworx AI may suspend or terminate your access to the Platform immediately, without notice, if you:

  • Breach any term of this Agreement;
  • Use the Platform in any unlawful manner or in a manner that causes harm to Redworx AI or other Users;
  • Submit fraudulent, misleading, or unauthorised payment information;
  • Attempt to reverse-engineer, scrape, or extract any component of the Platform without authorisation.

You may terminate your account at any time. Upon termination, your licence to use the Platform ceases. Redworx AI's rights with respect to User Data under Section 8 and the limitation of liability under Section 5 survive termination.

Governing Law & Dispute Resolution

This Agreement is governed by and construed in accordance with the laws of the State of Victoria, Australia. Each party irrevocably submits to the exclusive jurisdiction of the courts of Victoria and the Federal Court of Australia.

Dispute Resolution Process

Prior to commencing any court proceedings (other than for urgent interlocutory relief), the parties agree to attempt to resolve any dispute in good faith through direct negotiation for a period of not less than 30 days from the date one party notifies the other of the dispute in writing. If the dispute is not resolved within that period, either party may pursue their legal remedies.

Privacy Complaints

If you have a complaint regarding our handling of your personal information, you may contact us at the details in Section 15. If your complaint is not resolved to your satisfaction, you may lodge a complaint with the Office of the Australian Information Commissioner (OAIC) at oaic.gov.au.

Amendments

Redworx AI may amend this Agreement at any time by posting the updated version to redworx.ai/terms and notifying registered Users via the email address associated with their account, with at least 14 days' notice prior to material changes taking effect.

Your continued use of the Platform after the notified effective date of any amendment constitutes your acceptance of the updated Agreement. If you do not accept the amended terms, you must stop using the Platform and may cancel your account before the effective date.

The version number and effective date at the top of this document indicate the current version in force.
